TYCHR — Terms and conditions
DRAFT, FOR LEGAL REVIEW. Not reviewed by a qualified Indian advocate. Every [placeholder] must be filled and the whole document signed off by counsel before publication. Not legal advice.
[LAWYER: an external review on 1 November 2026 flagged the following clauses as ones a consumer forum may treat as unfair under section 2(46) of the Consumer Protection Act, 2019, and asked that each be considered specifically: acceptance by browsing (clause 2); gateway and bank charges passed on (6.2); expiry of paid hours (6.3); the 15-day deemed acceptance of an hours statement (7); suspension without refund (14 and 17(b)); the cap on liability (15) and the consumer indemnity (16); continued use as acceptance of a change (19(a)); and exclusive jurisdiction (19(e)). Also for review: the bundle re-charge and administration fee in the refund policy sections 5 and 6, against the Rules on cancellation charges.]

Change from version 1.0. Version 1.0 was a single document carrying both the terms and the privacy policy. The privacy half is now a standalone privacy notice, because section 5 of the Digital Personal Data Protection Act, 2023 requires a notice that stands on its own and is not bundled into a contract. The business terms below are substantially those of version 1.0.
1. Who this agreement is between
This is an agreement between you and [VEDANT: registered name], a private limited company incorporated under the Companies Act, 2013, CIN [insert], GSTIN [insert], registered office [insert full address] ("TYCHR", "we", "us", "our").
"You" means the person accessing, browsing, registering on or using app.tychr.com, platform.tychr.com, www.tychr.com, any TYCHR sub-domain, the TYCHR mobile applications, the learning platform or the virtual classroom (together, the "Platform"), or who buys or receives any content subscription, tutoring, assessment, counselling or related service from us (the "Services").
Where the student is under 18, this agreement is intended to be entered into by a parent or lawful guardian on the student's behalf, and that parent or guardian is then the account holder and personally responsible for every obligation under it, including payment. You should know how this works in practice today: anyone who registers on the Platform is given a student account, and that account is the one that pays. We do not check, at sign-up, that the person registering is an adult or that a parent has agreed. Clause 3 says what follows from that.
2. Acceptance
By accessing the Platform, creating an account, submitting an enquiry or enrolment form, making a payment, or attending a session, you confirm you have read, understood and agree to be bound by this agreement.
If you do not agree, do not use the Platform or the Services.
This is an electronic record under the Information Technology Act, 2000 and the rules made under it, and needs no physical or digital signature.
Consent to the processing of personal data is a separate matter, dealt with in the Privacy notice. Accepting these terms is not, by itself, consent to any processing of personal data, and the optional consents in the privacy notice (marketing, class recording, AI use of voice, video and chat) are each asked for separately and may be refused without affecting your Services.
3. Eligibility and students under 18
a. You must be at least 18 to form a contract with us. If the student is under 18, a parent or lawful guardian is required to open the account and accept this agreement, and to give the consents described in the privacy notice.
b. What actually happens today, which you should read before relying on paragraph a. The sign-up form creates a student account and takes payment from it; it does not ask for a parent, and nothing in it prevents a student under 18 from registering and paying. A parent or guardian account exists and is linked to the student's, but we create it on request. So in practice the account holder and the paying party are usually the student, and the consents in the privacy notice section 6 are given on whichever account is signed in. [VEDANT and LAWYER: either the sign-up flow is changed so that a parent opens the account, or paragraphs a and b are rewritten to match. Privacy notice section 5 states the same gap.]
c. Where a parent or lawful guardian does hold the account, they:
- enter into this agreement in their own name;
- are the account holder and the paying party;
- make the consent choices described in the privacy notice section 6;
- are responsible for supervising the student's use of the Platform.
c. We may ask at any time for proof of identity, age, guardianship or authority to act, and may suspend an account until it is given.
d. Where you tell us a student is 18 or over, we act on that statement.
4. The Services
a. We provide:
- a content subscription — notes, web books, videos, flashcards, question banks, practice papers, mock exams and AI-assisted study tools; and
- one-to-one and small-group tutoring, test preparation, assignment and coursework support, assessment, academic counselling and related educational services, delivered online through the Platform and, where expressly agreed, in person.
b. Curricula we support include the International Baccalaureate (PYP, MYP, DP), IGCSE, A Level and AS Level, and such other boards and examinations as we may list.
c. The Services are supplementary educational support. We are not a school, not an examination board, and not a substitute for the student's own study, attendance or school obligations.
d. We may add, modify, suspend or withdraw any part of the Services. Where a change materially reduces a Service you have already paid for, you get a pro-rated credit or refund of the affected portion, as the Refund and cancellation policy sets out.
5. Accounts
a. Give us accurate, current and complete information when you register, and keep it up to date.
b. Keep your login credentials confidential. You are responsible for activity under your account. Tell us at once at [insert support email] if you suspect unauthorised use. We recommend turning on two-factor authentication.
c. Accounts are personal. You may not share, sell, transfer or give access to an account, a session link or a recording to anyone who is not the enrolled student, without our written consent.
d. One account, one student. Where a family enrols more than one student, each needs a separate enrolment and separate purchased hours, unless we have agreed a sibling or group arrangement in writing.
6. Fees, subscriptions, packages and hours
6.1 How we charge
a. Content subscriptions are sold as one payment covering 365 days from purchase, at the price shown at the checkout. Nothing renews automatically. We do not store your card for a future charge and we will not charge you again. When the 365 days end, access ends, and buying another term is a new purchase you make yourself.
b. Tutoring is sold as prepaid packages of hours at an agreed hourly rate, or as fixed-price engagements, set out in the invoice, fee quote or "Course Fee Details" document issued to you (each, an "Order").
c. The rate depends on subject, level, curriculum, tutor, format and the student's location. The Order confirms the rate and prevails over any rate quoted informally.
d. The amount shown at the checkout is the amount we charge you. No tax is added to it at the checkout today. [LAWYER and VEDANT: whether the displayed price is inclusive of GST, and what the invoice must therefore state, is open — our accountant's answer is awaited. Until it is settled this clause says only what the payment code does, because a buyer must not be told a tax will be added when it is not.]
6.2 Payment
a. Payment is due in full in advance of delivery, unless an instalment schedule is recorded in the Order. Where instalments are agreed, each falls due on the stated date, and we may suspend delivery if one is not received by its due date.
b. We take payment through our payment gateway (card, UPI, netbanking, wallet) and through the other channels we notify from time to time, which may include bank transfer (NEFT, IMPS, RTGS), international wire and cheque.
c. Pay only into a TYCHR account or collection channel we have confirmed to you in writing for that Order. We are not responsible for funds sent to an account we have not confirmed, and such a payment does not discharge your obligation to pay.
d. Quote the invoice number or the student's name as the reference. Without it we may be unable to allocate the payment and delivery may be delayed.
e. Bank charges, intermediary bank fees, foreign-exchange costs and card and gateway charges are yours. The amount credited to our account must equal the invoiced amount; a shortfall remains payable.
f. Where you pay in a currency other than Indian Rupees, the amount payable is the Rupee sum actually credited after conversion and charges. Exchange-rate movement between invoice and receipt is at your risk.
g. Where tax must be deducted at source, deduct at the correct rate, pay it to the Government and give us the TDS certificate within the statutory timeline. Until the certificate is given, the deducted amount is treated as outstanding.
h. On an overdue amount we may charge interest at [insert, e.g. 1.5]% per month, or the maximum the law permits if lower, from the due date until payment.
6.3 Validity, expiry and unused hours
a. Each package carries a validity period, stated in the Order, running from the date of the first session or the date of payment, whichever we specify.
b. Hours not used before validity ends expire and are not refundable, transferable or carried forward, unless we agree otherwise in writing or the law requires otherwise.
c. We will try to tell you before expiry, but using the hours within validity is your responsibility, and a missed reminder does not extend it.
d. You may ask in writing, before expiry, for an extension. We may grant, refuse or condition it.
e. Hours are specific to the student, subject and level they were bought for, and do not move between students, subjects, levels or formats without our written agreement.
f. Where we deliver beyond the hours paid for, the extra hours are chargeable at the applicable rate, payable on demand.
6.4 Statements
We will give you a statement of hours purchased, used and remaining on request. If you think a statement is wrong, raise it within 15 days of receiving it, after which it is treated as accepted, except for a manifest error.
7. Scheduling, cancellation and attendance
a. Sessions are scheduled by agreement, subject to tutor availability. Confirmed times appear on the Platform.
b. Rescheduling. You may reschedule free with at least [insert, e.g. 24] hours' notice through the Platform or your coordinator.
c. Late cancellation and no-show. A session cancelled with less than the required notice, or where the student has not joined within [insert, e.g. 15] minutes of the start, is treated as delivered and deducted in full from the purchased hours.
d. Tutor cancellation. If we cancel, we reschedule at no cost and deduct no hours. If we cannot reschedule within a reasonable period, the hours go back into your balance.
e. Full detail, including technical failure, illness and emergencies, is in the Refund and cancellation policy.
8. Tutors
a. We select and allocate tutors. You are engaging TYCHR, not an individual tutor, and we do not guarantee that a particular tutor will teach, or continue to teach, any student.
b. We may change a tutor for operational reasons — availability, performance, suitability, or the student's needs. We will try to give reasonable notice and keep continuity.
c. You must not solicit, engage or pay any TYCHR tutor directly, or arrange sessions outside the Platform, during your engagement and for [insert, e.g. 12] months after it ends. This protects the tutor, the student's safeguarding and our business. Breach entitles us to recover the fees that would have been payable, as a genuine pre-estimate of our loss.
d. Tutors are bound by written confidentiality, conduct and data protection obligations. Report any concern about a tutor's conduct immediately to [insert safeguarding email].
9. Academic integrity
Not negotiable. It applies with particular force to IB Internal Assessments, Extended Essays, Theory of Knowledge, coursework, and anything submitted for assessment.
a. We provide guidance, teaching, feedback and review. We do not write, complete, ghostwrite or submit any work a student presents as their own.
b. You and the student must comply with the academic honesty rules of the student's school, board and examination authority, including the International Baccalaureate Organization's academic integrity policy.
c. You must not ask a tutor to produce work for submission, sit an assessment, complete an online test, or do anything that would be academic misconduct. A tutor who receives such a request must refuse it and report it to us.
d. We may suspend or terminate the Services immediately, without refund, where we reasonably believe they are being used to commit academic misconduct.
e. We accept no liability for any penalty, disqualification, withdrawal of a grade or disciplinary action imposed on a student by a school or examination authority. Responsibility for the integrity of submitted work rests with the student.
10. The Platform, recordings and content
10.1 Recordings and transcripts
a. Where you have agreed to it, a live class may be recorded, and the recording may be transcribed and summarised, so the student can revise and so we can assure quality, support safeguarding, train tutors and resolve disputes.
b. Recording is a separate, optional consent, asked for at the point you buy a classroom or tutoring — not at sign-up, and not by accepting these terms. The consent for the class recording and the consent for AI use of the voice, video and chat from it are asked for separately, and either may be refused. See the Privacy notice section 6.2.
c. Where the student is under 18, the parent or guardian makes that choice.
d. You can withdraw the consent at any time, as easily as you gave it, in Settings. Withdrawal stops future recording. Where it is technically impossible to run a particular class without recording, we will tell you before the class and offer an alternative or a credit rather than record it anyway.
e. Recordings are kept for the period in the retention policy and may be deleted after it. We do not guarantee that any recording will be made, kept, or stay available.
f. You may not download, copy, screen-record, publish, share or distribute any recording except where we expressly permit it. A recording is for the enrolled student's personal study only. Where another student appears in it, distributing it is also a breach of their privacy.
10.2 Our content
a. Everything we provide — worksheets, notes, web books, question banks, mark schemes, slide decks, videos, recordings, software, the Platform itself, the TYCHR name and logo — is owned by or licensed to us and protected by law.
b. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use our materials solely for the enrolled student's own study, during the engagement.
c. You may not copy, reproduce, resell, sub-licence, publish, upload to any file-sharing, tutoring or AI service, reverse-engineer or make derivative works from our materials, or remove any proprietary notice.
d. The licence ends when the engagement ends. Use after that is unlicensed.
10.3 Your content
a. You keep ownership of the work, questions, documents and other material you or the student upload ("Your Content").
b. You grant us a non-exclusive, royalty-free, worldwide licence to host, store, reproduce, display, process and adapt Your Content solely to deliver, support and secure the Services for you, and to comply with law.
c. We do not use Your Content to train any AI model, ours or a third party's, and our contracts with our AI providers prohibit them from doing so. [confirm against the provider terms actually signed — see the Processor register]
d. You confirm Your Content infringes nobody's rights and is lawful to upload. We may remove content that breaches this agreement.
10.4 Artificial intelligence features
a. Parts of the Services use automated and AI-assisted tools — generating practice questions, summarising notes, marking written answers, giving feedback, transcribing a class, and an AI study assistant that keeps a record of a student's progress so it can help them.
b. AI output can be incomplete, outdated or wrong. It assists teaching; it does not replace it, and it is not a definitive academic source. Check it against your syllabus and official materials.
c. We tell you where output is materially AI-generated. We do not make any decision about you that produces a legal or similarly significant effect solely by automated means — an AI mark on a piece of work can always be reviewed by a human if you ask.
d. The AI features that use a student's voice, video or class chat require the separate consent in section 10.1(b). The AI providers we use, and which of them process data outside India, are named in the Privacy notice section 8 and the Processor register.
11. Accuracy of content
We work for accuracy and support you to the best of our ability. Content may nonetheless contain mistakes, errors or outdated information — please tell us about any error you find so we can fix it, at [insert support email].
Syllabi, mark schemes, grade boundaries and examination requirements change. Always verify against the current official publications of the relevant board or examination authority. We are not responsible for loss arising from reliance on superseded material.
12. Acceptable use
You must not, and must not let anyone else:
a. use the Services for any unlawful, fraudulent, abusive, harassing, discriminatory, defamatory or obscene purpose; b. impersonate anyone, or misrepresent a student's age, identity, school or level; c. disrupt, overload, probe, scan or try to gain unauthorised access to the Platform or any system or account; d. introduce malware or harmful code; e. scrape, harvest, data-mine or use automated means to extract content or data; f. record, photograph or capture a tutor or another student without their consent; g. use the Services to commit academic misconduct (clause 9); h. resell, sub-licence or commercially exploit the Services; i. infringe any intellectual property, privacy or other right.
Breach may mean immediate suspension or termination without refund, and we may report unlawful conduct to the authorities.
13. No guarantee of results
a. We do not guarantee any grade, score, mark, rank, admission, scholarship or academic outcome. No statement by any employee, tutor or agent is such a guarantee.
b. Outcomes depend on the student's prior knowledge, effort, attendance, completion of work, school teaching, examination conditions, board marking, and factors outside our control.
c. Results, testimonials and case studies we publish are individual outcomes and not a representation of typical results. We publish a student's name, image or result only with the separate written consent described in the Privacy notice section 6.3.
14. Disclaimers
a. Except as expressly stated here and to the fullest extent the law permits, the Services and the Platform are provided "as is" and "as available", and we exclude all implied warranties, conditions and terms.
b. We do not warrant that the Platform will be uninterrupted, timely, secure or error-free, or that defects will be corrected.
c. No transmission over the internet or electronic storage is entirely secure. We take the measures described in the Privacy notice section 12, but we cannot guarantee absolute security.
d. The Platform may link to third-party sites and services. We do not control them, do not endorse them, and are not responsible for their content, security or privacy practices. Read their terms before using them.
15. Limitation of liability
a. Nothing here excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything that cannot lawfully be excluded. Nothing here limits any liability of TYCHR under the Digital Personal Data Protection Act, 2023 or any other data protection law.
b. Subject to (a), we are not liable for indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, opportunity, anticipated savings, goodwill, examination results, academic placement or data, however arising.
c. Subject to (a), our total aggregate liability under this agreement is limited to the total fees you actually paid us in the [insert, e.g. six] months immediately before the event giving rise to the claim.
d. Each part of this clause operates separately; if one is unenforceable the rest continues.
16. Indemnity
You indemnify and hold harmless TYCHR, its directors, officers, employees, tutors and agents against any claim, demand, loss, liability, cost or expense (including reasonable legal fees) arising out of:
a. your breach of this agreement; b. your or the student's misuse of the Services, Platform or our materials; c. any academic misconduct involving work we assisted with; d. content you upload; e. your breach of any law or third-party right.
This does not apply to a claim arising from our own breach of this agreement or of any data protection law.
17. Suspension and termination
a. By you. You may stop using the Services at any time. Clause 6.3 governs unused hours; the Refund and cancellation policy governs refunds. There is no renewal to turn off — a subscription is one payment for 365 days (clause 6.1(a)) — and there is no cancel button: write to us and we will raise a cancellation.
b. By us. We may suspend or terminate your access, immediately and without refund, if you breach this agreement, fail to pay, commit or attempt academic misconduct, behave abusively to a tutor or staff member, or where the law requires it.
c. For convenience. Either of us may terminate on [insert, e.g. 30] days' written notice. If we terminate for convenience, we refund the unused, unexpired hours and the unused part of any subscription term.
d. On termination your licence to our materials ends and access to recordings and content may be withdrawn. Your rights over your personal data do not end with this agreement — see the Privacy notice section 10 and the retention policy.
e. Clauses 8(c), 9, 10.2, 10.3(b), 13 to 16, 19 and 20 survive termination.
18. Force majeure
We are not liable for failure or delay caused by anything beyond our reasonable control — act of God, fire, flood, epidemic or pandemic, war, terrorism, civil unrest, strike, government action, failure of internet or telecommunications infrastructure, power failure, or the failure of a third-party service provider. We will take reasonable steps to resume delivery and, where sessions are lost, credit the hours.
19. Personal data
How we handle personal data, what we collect, why, who we share it with, where it goes, how long we keep it and what rights you have is set out in the [Privacy notice](01-privacy-notice-EN.md), which is also available in [Hindi](02-privacy-notice-HI.md), together with the Cookie and tracking notice and the Data retention and deletion policy.
Your duties as a Data Principal. The Digital Personal Data Protection Act, 2023 places duties on you. You must comply with applicable law when exercising your rights; not impersonate another person when giving personal data; not suppress material information when giving personal data for any document, identifier or proof of identity or address; not register a false or frivolous grievance; and give only verifiably authentic information when asking for a correction or an erasure. Breaching these duties can attract a penalty under the Act.
20. Grievances and complaints
Grievance Officer and data protection contact Vedant Patnaik · vedant@tychr.com · [insert postal address] · [insert phone] Hours: [insert, e.g. Monday to Friday, 10:00–18:00 IST]
We confirm every grievance within 48 hours and resolve it within 30 days, and in no case later than 90 days. If we have not resolved it, or have not answered in time, you can complain to the Data Protection Board of India at [insert]. Full detail in the Grievance policy.
Complaints about the Services — a class, a tutor, a schedule, a fee — go to your coordinator or to [insert support email], and are handled on the same clock.
Nothing here limits your rights under the Consumer Protection Act, 2019, including the Consumer Commissions and the National Consumer Helpline (1915, consumerhelpline.gov.in).
21. Changes to this agreement
a. We may update this agreement to reflect changes in our practices, Services or the law.
b. The updated version is posted on the Platform with a new effective date. Where a change materially affects your rights or obligations we will give you reasonable advance notice by email or through the Platform.
c. Continuing to use the Services after the effective date means you accept the change. If you do not accept it, stop using the Services and contact us about unused hours.
d. Where a change needs fresh consent under the Digital Personal Data Protection Act, 2023, we will ask for it separately. Continued use alone is never treated as consent to a new processing purpose.
22. Governing law and jurisdiction
Indian law governs this agreement. Subject to clause 23, the courts at [insert city], India have exclusive jurisdiction.
23. Dispute resolution
a. We will first try in good faith to resolve any dispute by discussion, within [insert, e.g. 30] days of written notice.
b. Failing that, the dispute goes to arbitration before a sole arbitrator under the Arbitration and Conciliation Act, 1996. Seat and venue [insert city], India; language English. The award is final and binding.
c. Neither of us is prevented from seeking urgent interim relief from a court.
d. This clause does not apply to, and does not prevent, a complaint to the Data Protection Board of India under the Digital Personal Data Protection Act, 2023, or a complaint to a Consumer Commission under the Consumer Protection Act, 2019. [flag to counsel — an arbitration clause cannot oust a statutory consumer or data protection forum]
24. General
a. Entire agreement. This agreement, with the Order and the documents it links to, is the whole agreement between us and replaces earlier discussions and representations, except for fraudulent misrepresentation.
b. Severability. An invalid or unenforceable provision is severed; the rest continues.
c. No waiver. A failure or delay in enforcing a right is not a waiver of it.
d. Assignment. You may not assign or transfer your rights without our written consent. We may assign to an affiliate or successor.
e. No partnership. Nothing creates a partnership, joint venture, employment or agency. Tutors are engaged by us; no tutor is your employee or agent.
f. Notices. To you, at your registered email. To us, at [insert legal email] and the registered office.
g. Third parties. Nobody who is not a party may enforce this agreement.
h. Language. English governs this agreement; a translation is for convenience. The privacy notice is published in English and Hindi, and we will provide it in any other language in the Eighth Schedule to the Constitution on request. [LAWYER: section 5(3) of the DPDP Act gives the person the choice of language. Whether offering the other Eighth Schedule languages "on request" satisfies that, or whether they must be published, needs an answer.]
